Overview

Lauren Emanuel focuses her practice on investment management, private equity, securities, corporate, and finance matters, including, representation of investment advisers and private funds, general corporate representation, and mergers and acquisition.

Investment Management. Lauren regularly represents state and federally registered investment advisers in various securities, compliance, corporate, and regulatory matters, including drafting and reviewing regulatory filings, drafting and negotiating advisory agreements and other material contracts, and developing and analyzing compliance policies and procedures. Lauren also regularly represents investment advisers in mergers and acquisitions.

Private Funds. Lauren regularly assists in private fund formation, including domestic and offshore funds. Lauren also assists institutional investors with evaluating and negotiating terms of investment in a broad range of investment opportunities.

General Corporate. Lauren regularly represents clients in various corporate transactions, including financing transactions, securities filings, general corporate matters, drafting and negotiating commercial agreements, and regulatory matters.

Represented Hudson Capital Properties in over a billion dollar time-sensitive disposition of 15 multi-family properties in seven states in over 15 separate transactions with different purchasers. All transactions were completed within one calendar quarter. The dispositions included corporate structuring issues, capital gains tax issues, loan assumptions, loan defeasances, and 1031 exchanges, among other complicating factors.
