Dr. Siegmar Pohl is co-leader of the firm's Entrepreneurship Through Acquisition/Search Funds and Venture Capital and Emerging Companies practices. He is an accomplished attorney representing technology companies in complex corporate transactions from inception to exit. Siegmar and his team help high tech, climate tech, clean tech, renewable energy, robotics, automotive, artificial intelligence, and life sciences companies and investors with seed and venture financings, R&D, licensing, joint ventures and alliances, strategic investments, and mergers and acquisition matters. Because his deals frequently involve parties from the U.S., Europe, China, or Japan, Siegmar is particularly savvy in market-entry and cross-border issues, such as avoiding pitfalls of foreign governing law and negotiation culture. His in-depth expertise often helps clients implement legal structures and tech transfers that optimize international or domestic tax exposure. Representing HiiRoc, Inc., a UK developer and manufacturer of carbon-negative hydrogen generation units, in connection with its formation of a U.S. subsidiary and advice on mitigation liability and product liability risk through proper structuring as well as advice on cross-border deals with industry partners.

Representing Crosshair Therapeutics, Inc., a Silicon Valley startup, and the developer of an AI drug discovery platform intended to create an entirely new class of therapeutics for cancer, longevity, and other diseases. Our representation started with the merger of three affiliated startup companies, combining their IP and university licenses, and continues through its Seed Financing Round, including SAFEs, convertible notes, and funding from the M7 Accelerator.

Counseling Yuvan Research, Inc., a member of UC Berkely’s QB3 incubator engaging in the groundbreaking research on the biology of aging, in connection with a cross-border reorganization, including a so-called “Delaware Flip" as well as additional financing rounds and R&D agreements.

Advised Biosensors International, a leading medical device company for medical and epidemic prevention products, cardiovascular stents and minimally invasive surgery, in connection with structuring the reorganization and set up of the corporation without jeopardizing the pending approvals by the Federal Drug Administration (FDA).

Advised Elanders Group from Sweden in the $124 million acquisition of 80% of the American supply chain management company, Bergen Logistics, specializing in contracts logistics for fashion and lifestyle e-commerce marketplaces, together with a mandatory option to purchase the remaining shares for a purchase price based on the company’s future results.

Representing New Atlas Biotechnology, Inc., a drug development company affiliated with the UC Berkeley Incubator, QB3, in connection with corporate and IP matters, including IP assignments between founders, University, and third parties and Series A financing.

Represented TTTech Industrial (Vienna, Austria) in an asset acquisition from Nebbiolo Technologies, Inc., a Silicon Valley technology company in the field of fog computing for automotive and other applications.

Representing Mercedes-Benz USA (MBUSA) in the development of fleet service and data license agreements for automotive customers and vehicle operators, including location and maintenance data as well as complex multi-party contractual relationships.

Advised Toshiba America Energy Corporation on 45Q tax credit matters.

Represented Westbridge Agricultural Products, Inc., an organic pesticide and fertilizer company from San Diego, California, in a $35 million merger with a U.S. subsidiary, Bio-Ferm, of the Erber Group from Vienna, Austria.

Represented California-based biotechnology pioneer for life science tools presenting genomic characteristics in complex intellectual property agreements with a large Korean manufacturer and involving licenses from the University of California.

Advised Targos Molecular Pathology GmbH, a leader in clinical biomarker services from Kassel, Germany, in connection with its joint venture with AKESOgen Inc., Norcross, Georgia.

Represented KUKA, one of the world's leading suppliers of robotics as well as plant manufacturing and system technology in connection with its strategic investment in a Silicon Valley technology company.

*Represented Tan Chong International in negotiations of a manufacturing joint venture with Nissan, including construction, ownership and management of manufacturing facilities and operations.
