Rex Veal has extensive experience representing investors in CMBS, CDO and CLO transactions and servicers and special servicers in the servicing-related aspects of structured finance transactions, as well as the purchase, sale and transfer of servicing rights. Rex also has significant experience in the restructuring non-performing financial assets. He represents investors in both initial and secondary market transactions as well as terminating securitization trusts.
Prior to entering private practice, Rex held a number of senior positions with the Federal Deposit Insurance Corporation (FDIC) and the Resolution Trust Corporation (RTC), including Associate General Counsel for the FDIC and Special Counsel (General Counsel) to the RTC. He is active in industry groups including the Commercial Real Estate Finance Council.
Rex was recognized in The Best Lawyers in America® for Banking and Finance Law and Securitization and Structured Finance Law in 2019 and the 12 years immediately preceding and again in 2025 and the five years immediately preceding for Banking and Finance Law, Real Estate Law, and Securitization and Structured Finance Law. Experience
Assisted an investment advisory service company with its asset management agreement for a complex, multibillion dollar transaction involving a government assisted merger. As part of the transaction, the failing company's assets were placed in a special purpose vehicle either directly or via the creation of trusts.
Represented over a dozen different investors in the acquisition of subordinate CMBS certificates in over 300 CMBS securitizations, including Freddie Mac K-Series transactions, conduit transactions and single asset/single borrower transactions.
Represented collateral providers, collateral managers and special servicers in over 10 commercial real estate collateral debt obligation transactions with an aggregate total of over $10 billion in assets.
Represented collateral providers, collateral managers, servicers and special servicers in over 15 commercial real estate collateralized loan obligation transactions with an aggregate total of over $10 billion in assets.
Represented CMBS special servicer responsible for over $1 billion in total debt in large mall owner/operator bankruptcy and restructuring.
Represented special servicers for CMBS trusts and collateralized debt obligation transactions with respect to restructuring and liquidating loans secured by hotels, office buildings and retail centers.
