Lisa Rothstein concentrates her practice on mergers and acquisitions and general corporate transactions. With extensive experience representing privately- and family-held middle market businesses, she is skilled at working collaboratively with stakeholders to reach pragmatic solutions to legal issues and to develop and support strategic practices to minimize risk. Lisa is an effective communicator with comprehensive experience applying legal expertise to business operations.
Lisa has successfully closed numerous complex asset purchases, stock sales, and merger transactions for companies in a range of sizes and industries including food manufacturing, equipment, and goods manufacturing, wholesale and retail sales, liquor distributors, printing companies, medical waste, medical practices, non-profit, and other service organizations.
Lisa also serves as outside general counsel, assisting clients in all aspects of operational matters and governance. She provides day-to-day guidance to business owners in navigating their relationships with third parties, employees, and co-owners. Lisa works with clients to structure ownership agreements, shareholder agreements, operating agreements, consulting and independent contractor agreements, distribution agreements, and sales representative agreements.
Clients appreciate Lisa’s approach: managing the big picture without forgetting the small details; balancing business judgment with legal expertise; and striving for conflict resolution and consensus building. She reduces complicated ideas to clear written expression, working to solve problems creatively. Prior to joining the firm, Lisa was a partner in the Business and Finance Group at HMB Legal Counsel, a well-established, corporate-focused law firm based in Chicago, Illinois.
