A discussion of the current M&A environment and the continued increased regulatory focus on M&A transactions – both at the bank regulatory agencies as well as at the SEC. Topics include: (i) responsibility of the board of directors and executive management; (ii) capital levels, nonperforming assets and non-traditional activities; (iii) securities/regulatory considerations for structuring M&A transactions, including compensation and severance; and (iv) a review of recent transactions, including shareholder litigation.
