Kelsey Donnalley focuses her practice on domestic and cross-border mergers and acquisitions, divestitures, joint ventures, corporate restructurings, strategic transactions, and general corporate matters. Kelsey is the co-team leader of Kilpatrick’s Corporate Mergers & Acquisitions (MASC) practice.
Kelsey regularly advises strategic buyers, private equity funds and their portfolio companies and other corporate clients on mergers and acquisitions, joint ventures and other strategic transactions. She has worked with companies in a variety of industries including building products, technology, telecommunications, and consumer products.
Kelsey is actively involved in nonprofit organizations in the Atlanta area. She currently serves as a Board Member of Camp Sunshine, a 501(c)(3) organization that supports children with cancer and their families through recreational, educational, and support activities.
Kelsey was recognized in 2026 by The Best Lawyers in America® for Mergers and Acquisitions Law and also in 2024 and the three years immediately preceding as one of the "Best Lawyers: Ones to Watch" for Corporate Law. She was ranked as a "Next Generation Partner" in 2023, 2024, 2025 and 2026 by Legal 500 US for Mergers & Acquisitions. Kelsey has been selected as one of Atlanta’s “40 Under 40” in 2025 by the Atlanta Business Chronicle. American Lawyer’s Daily Report recognized Kelsey as one of the "Most-Effective Dealmaker" finalists during its annual Southeastern Legal Awards in 2026.

Represented CRH in its acquisition of Eco Material Technologies, a leading supplier of supplementary cementitious materials, for $2.1 billion.
Advised Oldcastle Infrastructure, an industry leader in engineered building solutions, including pipe, precast, storm water, enclosure, and building accessory products, in the acquisition of National Pipe & Plastics, a New York-based manufacturer of PVC pipe solutions.
Represented RaceTrac in its acquisition of Potbelly Sandwiches, an iconic sandwich shop brand, including 445 stores the United States, for an equity value of approximately $566 million.
Represented RaceTrac and its wholly-owned wholesale fuel supply and trading subsidiary, Metroplex Energy, in Metroplex’s acquisition of Gulf Oil LLC, including Gulf’s nationally recognized fuel brand across the United States and all U.S. territories.
Advised Source Capital, a private equity investment advisor, in its strategic partnership with KeyMark, LLC, a leading developer of business process automation.
