Catherine Zhu focuses her practice on corporate mergers, acquisitions, and private equity transactions. She advises clients regarding securities and corporate governance matters.
Prior to joining the firm, Catherine was an associate in the transactional group of a southeast regional law firm in its Valdosta, Georgia headquarters where she concentrated her practice on private equity, commercial transactions, corporate governance, and affordable housing. Previously, she practiced as an attorney in New Zealand where she worked primarily in securities regulation, aviation law, and military law. Catherine practiced as an associate attorney at the New Zealand Stock Exchange in Wellington, New Zealand where she oversaw public listings and offerings and led investigations into issuer and broker-dealer conduct. She also worked as an attorney at the Civil Aviation Authority of New Zealand where she managed complex aviation regulatory issues, drafted legislation, and oversaw its health and safety prosecutions.
Experience
*Negotiated and drafted disclosure schedules and closing documents for $193 million sale of a majority interest in a multi-state agricultural company to a private equity company.
*Represented purchaser in a series of horizontal acquisitions totaling $49 million in the granite manufacturing industry.
*Acted as real estate counsel in the construction of $200+ million biorefinery plant.
*Represented purchasers and sellers in acquisitions, sales and financing, of portfolios of affordable housing projects.
*Negotiated and drafted purchase and sale agreement and ancillary documents for $33 million asset sale of a lumber mill to a regional competitor.
*Represented start-up in a $30 million 506(c) offering to develop an outdoor adventure lifestyle community in a Qualified Opportunity Zone.
*Represented national developer in a series of 506(c) offerings totaling approximately $22 million.
*Represented national developer in four university construction projects involving the issuance or revenue bonds between $100-$300 million.
