Overview

Robert Schaul concentrates his practice on outside general counsel services, merger and acquisition transactions, and debt and equity financing matters. Partnering with privately-held companies, as start-ups or established concerns, he counsels clients on organizational and capital structure, contractual issues, and general corporate and compliance issues. Robert serves as outside counsel for entities in various industries, from internationally based technology companies to national healthcare platforms to local start-ups. He also represents high-growth clients in the technology industry on SaaS and PaaS agreements and data privacy and protection matters.

Robert’s financing practice focuses on representing start-ups in obtaining financing through equity and convertible debt funding rounds, as well as representing commercial banks lending through more traditional facilities.

Prior to joining the firm, Robert was a partner in the Business and Finance Group at HMB Legal Counsel, a well-established, corporate-focused law firm based in Chicago, Illinois.

*Counseled Craftable, a privately owned SaaS provider in the hospitality industry, in its partnership with Gauge Capital, a leading middle-market private equity firm based in Dallas, Texas.

*Counseled a privately owned manufacturing company in its sale to a strategic foreign buyer that was looking to enter in the U.S. market, a complex transaction structure resulting from the location of the foreign buyer, the size of the transaction (in excess of $95 million), and the coordination with another purchase concurrently being made by the foreign buyer.

*Represents a German SaaS provider and provides counseling on corporate governance, day-to-day legal and contractual issues, data privacy, and legal go-to market strategies outside of Europe.

*Represents a U.S. services and technology provider and provides counseling on general corporate growth matters, including multiple venture capital equity financings, day-to-day legal, and contractual issues.

*Represents a U.S. services and technology provider and provides counseling on its form contract offerings, general corporate growth matters, and day-to-day legal issues.

*Represents a private equity-owned U.S. platform company in the healthcare industry and provides counseling on its form contract and equity offerings for its professional service providers.

*Represented a consulting and technology company in the media industry in its merger of equals with another consulting company, a complex transaction that required a strategic alliance pre-merger and a unique indemnification structure given the consideration for the agreement was equity in the surviving entity.

*Represented a German multinational medical device manufacturer and provided counseling on the implementation of policies in compliance with GDPR, agreements for strategic alliances and jointly developed IP, day-to-day legal and contractual issues, and product liability matters.
